Boss was. the area c o and ocb eventually had to order him to occupy the commanding officer's office. discipline several supervisors interviewed indicated that they believed the area c o routinely played favorites with his adjudication of disciplinary matters. some supervisors interviewed stated they believed that the captain gave certain sworn and civilian employees at rampart special treatment on disciplinary matters. these same supervisors felt that he was displaying poor leadership. however, this was refuted surprisingly by the other c o with whom he did not get along. he specifically said that he never saw any evidence of an improper relationship. some supervisors also talked about the fact that the c o was perceived to be overly supportive of his crash unit on disciplinary matters. rampart area's disciplinary profile is discussed extensively in chapter 5, risk management profile of rampart. however, there clearly was a pattern to the community complaints being made against certain members of the rampart crash unit, predominately from 1995 through 1997. supervisory and management controls the apparent lack of supervisory and management control over the crash unit was a significant factor identified during this inquiry. in fact, the subcommittee's inquiry revealed that the command team administered little oversight of the crash unit. it was left to operate entirely on its own, supervised only by the crash sergeants and with no accountability to the on-duty watch commander. the practice of officers printing or signing a sergeant's name to booking approvals and arrest reports was a particularly glaring illustration of poor crash supervision. the practice also appeared to be related to the large span of control in the unit. at one time, crash had over twenty officers and only one sergeant. yet, the sergeant was expected to handle all the administrative work related to crash in addition to field supervision. crash officers were allowed to deploy in the field despite the absence of a crash supervisor. there was virtually no night-time supervisory control over the vehicles assigned to rampart detectives which allowed crash officers unrestricted access to plain and undercover type vehicles. crash officers would simply park their assigned black and white vehicles at the 3rd and union parking lot and use plain vehicles, often exchanging vehicles more than once during their tour of duty. this allowed them to operate in vehicles that could not be traced to them. the inquiry revealed other examples of poor management and supervisory control which ranged from a perception that command staff were rarely seen at rampart to the submittal of innocuous and vague sergeant and watch commander's logs. the findings supported the conclusion that a laissez faire philosophy existed at rampart when it came to supervisory and management controls. some supervisors believed that rampart area was so busy that it was unmanageable. without question, the operational and management workload at rampart area was heavy. up until about.
27 journal of legal studies, 141 jan. 1998 ; : one of the principal results in the economic theory of litigation is that the english rule of fee allocation in which the loser pays the winner's litigation costs ; is better at discouraging suits by low-probability-of-prevailing plaintiffs than the american rule in which each side bears its own costs ; . this result has been demonstrated under the assumption that all suits that are filed go to trial. using a standard asymmetric-information model of litigation, we show that when the settlement process is taken into account the english rule results in more low-probability-ofprevailing plaintiffs going to trial than the american rule. in this sense, the english rule encourages low-probability plaintiffs more than the american rule it is important to point out that the conventional result concerns the incentives of parties to file suits, whereas our focus is on the decisions of parties whether to go to trial or to settle. our conclusion does not contradict the conventional result. although we show that the english rule leads to more trials involving lowprobability plaintiffs, our analysis does not imply that the english rule also causes more suits to be filed by low-probability plaintiffs. in the model we employ, the same suits are filed under the two rules. more generally, it could be the case that the english rule discourages the filing of suits by some low-probability plaintiffs while encouraging other low-probability plaintiffs to go to trial. see also smith, "note: the role of the attorney in protecting and impairing ; shareholder interests: incentives and disincentives to maximize corporate wealth, " 47 duke l.j. 161 oct. 1997 ; , where the author submits: the english solution: making the loser pay. the proposal put forth in part iii.a.i. would give an incentive to plaintiffs' attorneys to act in an efficient, wealth-maximizing way. however, there is an equally important need for a disincentive to deter these attorneys from acting in wealthdestroying ways. attorneys act destructively when they bring "strike suits" shareholder suits which would not win in court on their merits, and which have no potential to benefit the corporation for the purpose of inducing the corporation to settle in order to avoid the costs and disruptions of litigation. unfortunately, the strike suit is a common occurrence. although strike suits are meritless, corporations and their officers have powerful incentives to settle them. the corporation must bear the litigation expenses to fight the suit, and, perhaps more significantly, the existence of a pending lawsuit may have a substantial deleterious effect on the defendant's normal business activity. these incentives to settle make meritless strike suits profitable for attorneys. the proper disincentive for these meritless suits is to require a plaintiff who loses on the merits to reimburse the defendant for a portion of its litigation expenses. this rule is fair because a shareholder who files a meritless lawsuit unilaterally thrusts costs upon the corporation and its shareholders. this rule is efficient because it would encourage corporations to fight meritless lawsuits rather than settle them, providing a powerful deterrent to these destructive suits. finally, this rule is necessary because other attempts to deter frivolous shareholder litigation, such as the contemporaneous ownership rule and security-for-expense statutes, are inadequate; those feeshifting provisions are not related to the merits of the case and thus affect meritorious as well as nonmeritorious suits. 15 it would, perhaps will, be ironic if, as some predict, the regulations and law matters overseas react to some of the benefits of sarbanes-oxley by stiffening their own requirements. see sjberwin, private equity comment, sept. 22, 2006: next month in the british parliament the long, slow process will finally come to an end, and a new companies act will make its way onto the statute books shortly after. it will probably be another year before it comes to force, but when it does it will certainly herald significant change and most of it for the better the process although disappointingly slow ; has, by and large, been a and poker guide.

| Office ; and eat our sandwiches, smoke a couple of joints, and drink the sodas. when we'd been out about fifty minutes, we'd drive back to the office and resume our duties. every couple of weeks i'd buy an ounce from her. i used most of it with matt and our friends, but i carried one joint back to work each day so i could share it with kathie and not be a mooch. as we ate and smoked, week after week, kathie told me about the world in which she lived -- a world completely alien to me. i picked up quite an education, and it struck me more than odd -- spiritually significant, i've often thought -- that the reason all this fascinating knowledge came my way was that i was in the habit of wearing jeans and t-shirts, and "looked like i party." kathie grew up fighting on the streets of philadelphia and fled west by thumb at the age of seventeen, living on money she'd made selling dope. her first week in san francisco, she met rick, then twenty-two, also a dope dealer. she became his live-in lover the same day. rick had a day job in a home-improvement chain store, and many of the people who bought drugs from him lived in silicon valley, so when the chain opened a new store here, he applied for a position as manager of the automotive department and got it. he moved south, taking kathie, whom he had wed five months earlier, and their three-month-old son, sean. they settled in the sort of seedy area where endless comings and goings would be well tolerated. kathie, who hated pretense and saw it everywhere, was comfortable there and got along well with her new neighbors. a few of them seemed trustworthy and were willing to take care of sean for a reasonable fee, so kathie decided to get a job. she figured office work would bring her in contact with people who needed a reliable source of dope, and indeed it did. she also found that she enjoyed the novelty of getting a paycheck. by the time we met, though, her main reason for working was that she liked the responsibility. she'd started out doing clerical work, but it was too easy for her and she got through it so fast that she was always left with spare time, which she contrived to spend with the techies. there was always at least one who was willing to teach her some of his skills and jargon, and she wound up learning a great deal about the workings of small computers and other office machinery. after changing jobs a few times, mainly to expand her drug clientele, she found her niche, and there she intended to stay. she could dress and act as she pleased, and she was convinced that no other company would have her unless she agreed to become a phony. over the years -- sean was nine now -- rick had become increasingly jealous. he suspected and hated every man with whom kathie worked. he had never met one, but no matter. it was a class war thing, really -- the same hostility kathie felt toward women who wore conventional business attire -- but it was stronger, and it came out as jealousy vented in kathie's direction. it was a royal pain in kathie's words ; , especially since she wasn't at all inclined to stray and rick had no evidence on which to base his suspicions. over lunch she would tell me the stories. i remember one that said it all: kathie was in the habit of showering before work. almost every morning, rick would.

Instance, consider tax breaks such as the family business estate tax deferral and valuation discounts. and protect yourself with a well-structured buy-sell agreement. gifting family business stock also can be an effective estatetax-saving strategy. but keep in mind that the gift's value determines the gift and estate tax ramifications. and the irs may challenge the value you place on a gift. a valuation by a professional valuator can help the value stand up to such scrutiny. evaluate insurance needs. along with protecting your family's financial future, life insurance can be used to pay estate taxes, equalize assets passing to children who aren't involved in a family business, or pass leveraged funds to succeeding generations free of estate tax. long-term disability insurance is also important. for many, future earning power is their biggest asset, and employer-provided coverage is often insufficient. long-term care insurance also is worth considering, because savings can disappear fast if you or a loved one requires years of such care. split up assets carefully in a divorce. divorce is never easy, and it becomes even more difficult when marital property is significant. talk with your advisors about how to handle the taxes, "innocent spouse" tax law provisions, and qualified domestic relations orders qdros ; for retirement funds and property transfers. discussing these items thoroughly will help you make the best of a bad situation. protect assets. in our litigious society, asset protection planning is more important than ever. ask your financial professional about strategies such as transferring assets to your spouse; family limited partnerships; liability insurance; delaware, alaska or offshore trusts; and even your retirement plan or computer poker games.

Moving fast and that he'd better consider taking the citi deal for his clients. later that evening, according to a lawyer familiar with the matter, jpmorgan general counsel william mcdavid called alan lebowitz, general counsel for the pension fund, asking for a meeting between hevesi and jpmorgan's president, james dimon. lebowitz said there would be no meeting until jpmorgan was willing to negotiate in a range acceptable to the plaintiffs. the next day, posen's clients settled for 0.3 million, right at the citi formula. coffey detected that posen was frustrated that his clients were being asked to pay so much. coffey told him that he would be happy with the deal. coffey expected the remaining settlements to come in above the citi formula. and, with the exception of two tiny underwriters, they did. as more settlements were announced over the next week, the premiums over the citi formula grew progressively higher. on wednesday, march 9, four banks settled for 8 million, one at 5 percent and three at 13 percent above the citi formula. on thursday, three more banks settled for 7 million, two at 13 percent and one at 17 percent over the citi formula. by now, 14.
